1. Acceptance of Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "Student," "you") and Nexora Kitchen LLC ("Nexora Kitchen," "Company," "we," "our," "us"), a company operating at 2821 San Juan Ave, La Junta, CO 81050.

By accessing our website, registering for an account, purchasing or enrolling in any course, attending any live session, or otherwise using our services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Refund Policy, each of which is incorporated herein by reference.

If you do not agree with any portion of these Terms, you must immediately discontinue use of our website and services. Your continued use of the platform after any modifications to these Terms constitutes acceptance of those modifications.

These Terms apply to all users of the platform, including students, guests, visitors, instructors, and any other individuals who access or use our services in any capacity.

2. Description of Services

Nexora Kitchen provides an online culinary education platform ("Platform") that offers a variety of culinary learning experiences, including but not limited to live virtual cooking classes, pre-recorded video lessons, recipe libraries, educational courses, master classes, private coaching, and supplementary learning resources.

• Live Zoom Cooking Classes: Real-time interactive cooking sessions delivered via Zoom or similar platforms and led by an instructor.
• Recorded Recipe Library: On-demand access to a growing catalog of recipe, technique, and culinary instruction videos.
• World Cuisine Courses: Multi-part educational series focused on specific culinary traditions and techniques.
• Culinary Master Classes: Advanced sessions focused on high-level cooking concepts, methods, or guest instruction.
• Private Coaching Sessions: Personalized one-on-one guidance based on the student's goals and experience.
• Supplementary Materials: Recipe cards, ingredient lists, shopping notes, technique breakdowns, downloadable guides, and educational content.

We reserve the right to modify, suspend, discontinue, limit, replace, or expand any feature, content category, pricing structure, or service offering at any time, with or without prior notice, to the fullest extent permitted by law.

Platform Availability

Although we aim to provide consistent access, Nexora Kitchen does not guarantee that the platform or any specific service will be available at all times, without interruption, or free of errors. Scheduled maintenance, technical failures, internet outages, software bugs, third-party service interruptions, instructor unavailability, or events beyond our reasonable control may affect access.

We may also need to update course structures, revise educational materials, substitute instructors, reschedule sessions, or retire outdated content in order to maintain quality and operational efficiency.

3. Eligibility

To use our services, you represent and warrant that you meet all applicable eligibility requirements.

• You are at least 18 years of age, or at least 13 years of age with verified parental or guardian consent.
• You have the legal capacity to enter into a binding agreement.
• You provide accurate, current, and complete registration and payment information.
• You are not prohibited from using the services under any applicable law or regulation.
• Your use of the platform complies with the laws of your local jurisdiction.

Nexora Kitchen reserves the right to request reasonable age or identity verification where necessary, especially in connection with purchases, live participation, account integrity, or safety-related issues.

Minor Users

If you are between 13 and 17 years old, a parent or legal guardian must review and accept these Terms on your behalf prior to any use of the platform. The parent or guardian remains responsible for the minor's conduct, supervision, safety, and compliance with these Terms.

4. User Accounts

Account Registration

Certain features require account registration. When you create an account, you agree to provide accurate, current, and complete information and to keep such information updated. Failure to maintain accurate information may result in suspension, limited access, delayed support, or cancellation of your account or order.

Account Security

You are solely responsible for safeguarding your login credentials and for all use of your account, whether authorized by you or not. You agree to notify Nexora Kitchen immediately at info@nexora-kitchen.com if you suspect unauthorized access, misuse, or any security compromise related to your account.

We are not liable for any loss, damage, unauthorized purchase, or access issue resulting from your failure to protect account credentials or maintain secure device usage.

Account Use Restrictions

Your account is personal to you unless explicitly stated otherwise in a separate commercial or enterprise agreement. You may not sell, sublicense, transfer, share, lease, distribute, or otherwise allow multiple unrelated persons to use one account for paid access, subscriptions, course progression, or restricted educational materials.

We reserve the right to monitor account activity for abuse prevention, fraud detection, platform integrity, and enforcement of these Terms.

5. Payments & Billing

Some services offered by Nexora Kitchen require payment, including but not limited to subscriptions, single class enrollments, bundled programs, coaching sessions, premium course access, downloadable materials, and special events. By purchasing a paid service, you agree to pay all fees displayed at the time of checkout, along with any applicable taxes, processing costs, or other disclosed charges.

Pricing

All prices are listed in the currency displayed at checkout unless otherwise noted. We reserve the right to modify prices, subscription fees, discount structures, promotional periods, package inclusions, and service offerings at any time. Pricing changes generally apply prospectively and do not retroactively alter already completed purchases unless required by law.

Subscriptions and Renewals

If you enroll in a recurring subscription, you authorize Nexora Kitchen or our payment processor to charge your selected payment method automatically on a recurring basis until you cancel. Subscription access remains active according to the billing period purchased, subject to payment success and continued compliance with these Terms.

You are responsible for managing your subscription and cancellation timing. Unless otherwise stated, cancellations stop future renewals but do not retroactively refund charges already processed for the current billing cycle.

Failed Payments

If a payment method is declined, expires, is reversed, or otherwise fails, we may retry the charge, suspend access to paid services, revoke downloadable materials, cancel enrollment, or terminate access to live sessions until payment issues are resolved.

Refunds

Refund eligibility is governed by our Refund Policy. By purchasing any paid service, you acknowledge that refund rights may differ depending on the type of product or service purchased, the timing of cancellation, participation level, downloaded materials, or whether a live session has already occurred.

6. Access & License

Subject to your compliance with these Terms and payment of any applicable fees, Nexora Kitchen grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the platform and related educational materials for your personal, non-commercial learning purposes only.

License Limitations

• You may not reproduce, copy, download in bulk, republish, mirror, scrape, resell, or redistribute course videos, class recordings, PDF materials, or written guides except where we explicitly allow downloads.
• You may not use the platform or any educational content to build a competing service, commercial training product, recipe database, or subscription library.
• You may not modify, reverse engineer, interfere with, or attempt to gain unauthorized access to protected areas of the platform.
• You may not remove copyright notices, trademarks, watermarks, or ownership identifiers from any material.

Any unauthorized use automatically terminates the license granted under these Terms and may result in account suspension, legal claims, or other remedies.

7. User Conduct

You agree to use the platform in a lawful, respectful, and non-disruptive manner. Because Nexora Kitchen includes live learning environments and community interaction, user behavior materially affects the experience of other students and instructors.

Prohibited Conduct

• Using the platform for any unlawful, fraudulent, deceptive, abusive, defamatory, or harmful purpose.
• Harassing, threatening, insulting, discriminating against, or intimidating instructors, staff, students, or other users.
• Uploading or transmitting malware, harmful code, spam, or unauthorized promotional content.
• Recording live classes, redistributing meeting links, or sharing paid access with unauthorized third parties.
• Impersonating another person or misrepresenting your affiliation, identity, qualifications, or payment status.
• Posting content that is obscene, hateful, invasive of privacy, infringing, or otherwise objectionable.
• Using bots, scrapers, automation tools, or data extraction methods without express written permission.

Live Class Participation

For live classes, you are responsible for your own environment, ingredients, tools, equipment handling, internet connection, and personal conduct. Instructors may remove participants from live sessions when behavior is disruptive, unsafe, abusive, or materially interferes with the learning experience. Removal from a live class for violation of these Terms may occur without refund.

8. Intellectual Property

All content available on or through Nexora Kitchen, including but not limited to videos, course structures, class formats, lesson outlines, educational sequences, branding, logos, design elements, photographs, graphics, copy, page layouts, downloadable materials, PDFs, recipes as presented in our proprietary educational format, and audiovisual materials, is owned by or licensed to Nexora Kitchen and is protected by intellectual property laws.

User Feedback

If you provide comments, suggestions, ideas, testimonials, reviews, improvement requests, or other feedback relating to our platform or services, you grant Nexora Kitchen a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, adapt, and incorporate such feedback for operational, promotional, product development, or service improvement purposes, without compensation to you.

User Content

If you submit photos, comments, reviews, messages, assignments, or other materials to the platform, you represent that you own or have permission to submit that content. You grant us a non-exclusive, royalty-free license to host, display, process, reproduce, and use such content as necessary to operate the service, provide support, improve our offerings, and market the platform, unless otherwise prohibited by law or separate agreement.

9. Disclaimers

The platform and all services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, to the fullest extent permitted by law. Nexora Kitchen disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, and error-free operation.

Educational Use Only

All content is intended for general educational and informational purposes only. We do not guarantee any specific culinary result, level of mastery, business outcome, certification value, dietary outcome, health result, or professional advancement.

Food Safety, Allergies, and Personal Risk

Cooking involves inherent risks, including cuts, burns, allergic reactions, food contamination, fire hazards, and appliance misuse. You are solely responsible for evaluating your own skill level, physical safety, dietary restrictions, allergies, ingredient suitability, kitchen sanitation, and food handling practices. Nexora Kitchen does not assume responsibility for your actions in your kitchen or cooking environment.

You should consult qualified professionals when dealing with severe allergies, special diets, medical concerns, or food-related health conditions.

10. Limitation of Liability

To the fullest extent permitted by law, Nexora Kitchen, its affiliates, officers, directors, members, instructors, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to your use of, or inability to use, the platform or services.

This limitation applies regardless of the theory of liability and includes, without limitation, damages for lost profits, lost opportunity, lost data, loss of goodwill, service interruptions, device failures, food spoilage, kitchen accidents, or personal dissatisfaction with educational outcomes.

To the maximum extent permitted by law, our aggregate liability for any claim relating to the platform or services shall not exceed the amount you paid to Nexora Kitchen for the specific service giving rise to the claim during the twelve (12) months preceding the event at issue.

11. Indemnification

You agree to defend, indemnify, and hold harmless Nexora Kitchen and its affiliates, officers, members, employees, instructors, contractors, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your violation of these Terms;
• Your misuse of the platform or services;
• Your infringement of any third-party right;
• Your submitted content, communications, or conduct;
• Your acts or omissions during participation in live or recorded culinary instruction.

12. Termination

We may suspend, restrict, or terminate your access to the platform or any service, with or without notice, if we reasonably believe that you have violated these Terms, created legal risk, interfered with operations, abused instructors or staff, engaged in fraud, or otherwise acted inconsistently with the intended use of the platform.

You may stop using the platform at any time. Termination of access does not automatically entitle you to a refund unless specifically stated in our Refund Policy or required by law.

Sections that by their nature should survive termination, including but not limited to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law, shall survive termination of these Terms.

13. Dispute Resolution

If you have a concern or dispute related to the platform, we encourage you to contact us first at info@nexora-kitchen.com so that we can attempt to resolve the matter informally and in good faith.

To the extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the platform, or any services provided by Nexora Kitchen shall be resolved through good-faith negotiations first. If an informal resolution cannot be reached, the matter may be brought in a court of competent jurisdiction as permitted under applicable law and the governing law clause below.

You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding, except where such waiver is prohibited by law.

14. Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. Subject to applicable law, you agree that the state or federal courts located in Colorado shall have exclusive jurisdiction over disputes that are not otherwise resolved informally.

15. Changes to Terms

Nexora Kitchen may update or revise these Terms from time to time in order to reflect changes in our services, legal obligations, business practices, security procedures, or platform functionality. When we make material changes, we may update the date at the top of this page and, where appropriate, provide additional notice through the platform or by email.

Your continued use of the services after revised Terms become effective means that you accept the updated Terms. If you do not agree to the revised Terms, you must discontinue using the platform and any affected services.
